Xpital Healthcare LLP – Terms and Conditions for Pharmacy Partners
By registering and using the Xpital Healthcare LLP service provider app (“App”), you (“Pharmacy”) agree to the following terms and conditions (“Agreement”). Please read them carefully before accepting.
1. Agreement Overview*
By accepting these terms, you enter into a legally binding agreement with Xpital Healthcare LLP (“Company”). This Agreement outlines the terms under which you will provide medicine delivery services to users who purchase medicine through the Xpital app.
2. Models of Engagement*
– *Franchise Model*: You agree to pay a one-time franchise fee of ₹[Amount]. In this model, no commission is charged on orders placed through the Xpital app.
– *Commission-Based Model*: You agree to a commission of [X]% on each order placed through the Xpital app. No franchise fee is required.
3. Registration and Documentation*
You must create a profile in the App and upload all necessary documents, including your pharmacy license, GST registration, and proof of address. Your profile will be verified by Xpital Healthcare LLP before you are added to the master list of pharmacies.
4. Order Fulfillment*
Upon receiving an order through the Xpital app, you agree to prepare the medicine promptly and ensure it is ready for delivery. You are responsible for providing a delivery boy to deliver the medicines to the user in a timely manner.
5. Payment Terms*
– *Franchise Model*: The one-time franchise fee is due upon registration. No additional commission will be charged on orders.
– *Commission-Based Model*: The agreed commission will be deducted from the total order value before payment is disbursed to you. Payments will be transferred to your bank account on a [weekly/monthly] basis.
6. Compliance with Laws*
You warrant that you hold all necessary licenses, certifications, and permits required to operate as a pharmacy in India. You agree to comply with all relevant health and safety regulations.
7. Data Protection*
You agree to handle all user data in compliance with applicable data protection laws and use it solely for fulfilling orders received through the Xpital app.
8. Term and Termination*
This Agreement will continue until terminated by either party. Xpital Healthcare LLP may terminate this Agreement with [30 days’] notice if you breach any terms. You may terminate this Agreement with [30 days’] notice after fulfilling all pending orders.
9. Dispute Resolution*
This Agreement is governed by Indian law. Any disputes will be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with arbitration held in [City], in English.
10. Acceptance
